SERVICE AGREEMENT
XessOne — MANAGED INFRASTRUCTURE SERVICES
This Service Agreement ("Agreement") is entered into between XessOne ("Provider") and the client identified below ("Client").
1. SERVICES PROVIDED
Provider agrees to supply managed infrastructure services as outlined in the selected plan (Global Nodes, Web Deployment, AI Assistant, Nextcloud Private Cloud, S3 Object Storage, Managed Database, Auto SSL+DNS, Business Email) as specified on xessone.com.
2. BILLING & PAYMENT
Services are billed on the selected cycle (monthly or annual) via manual invoice. Payment is due within 7 days of invoice date. No automatic charges will be applied without Client's written authorization. Annual payment receives a 2-month discount. Client acknowledges XessOne is a long-term managed infrastructure partnership, not short-term hosting.
3. QUALIFICATION PERIOD
The pre-signature trial served as a mutual qualification period — for Client to verify fit, and for Provider to confirm Client's use case aligns with XessOne's managed-infrastructure positioning. By signing this Agreement, both parties confirm long-term fit and Client authorizes Provider to begin the paid service cycle.
4. SERVICE LEVELS
Provider commits to maintaining service availability as defined in the Service Level Agreement (SLA) available at xessone.com/sla. Credits for downtime exceeding committed levels are applied to future invoices.
5. DATA PROTECTION
Provider will handle Client data in accordance with the Privacy Policy at xessone.com/privacy. Data is stored on Vultr infrastructure and XessOne-operated nodes. Client retains ownership of all data uploaded to the platform.
6. ACCEPTABLE USE
Client agrees not to use services for: illegal activities, spam campaigns, cryptocurrency mining, unauthorized access attempts, or any activity violating Indonesian law or international regulations.
7. TERM & COMMITMENT
This Agreement has an initial term of twelve (12) months from the activation date ("Initial Term"). After the Initial Term, the Agreement auto-renews for successive 12-month periods unless either party provides written notice of non-renewal at least sixty (60) days prior to the end of the current term. Early termination within the Initial Term requires Client to pay 50% of the remaining contracted months as an early-termination fee — this reflects the infrastructure provisioning, migration, and onboarding investment Provider commits at activation. Services suspended for non-payment after 14 days; data retained 30 days post-suspension before permanent deletion.
Provider's target is to serve Client for a minimum of ten (10) years as a managed infrastructure partner. Pricing grandfather: Client's launch-discount price is locked for the first 24 months; subsequent renewals reflect the then-current list price minus any retention discount mutually agreed.
8. GOVERNING LAW
This Agreement is governed by the laws of the Republic of Indonesia. Disputes subject to arbitration in Jakarta.
9. ENTIRE AGREEMENT
This Agreement, together with the Terms of Service, Privacy Policy, and SLA constitutes the complete agreement between the parties.
